By accessing or using TerraShares you agree to these Terms of Service. If you do not agree, do not use the platform.

Who we are
TerraShares operates a digital platform that facilitates tokenised property investment in the United Kingdom. References to “TerraShares”, “we”, “us”, or “our” mean the TerraShares platform and operating company presenting these terms on terrashares.co.uk and related portals.

What the platform does
The platform connects property owners seeking capital with investors who wish to acquire economic interests linked to property held through special purpose vehicle (SPV) structures. TerraShares provides technology, onboarding, disclosures, and operational tooling around those offerings.

What we are not
TerraShares is not authorised by the Financial Conduct Authority (FCA). We are not a financial adviser, broker giving personalised recommendations, bank, or lender. Nothing on the platform constitutes investment advice, a deposit-taking service, or a guarantee of returns.

Nature of tokens
Tokens made available through TerraShares represent an economic interest in distributions and residual value associated with a dedicated property SPV. They do not confer direct freehold or leasehold title to the underlying property in your personal name. Rights are defined by the relevant SPV documents and offering disclosures.

Investor eligibility
To invest you must complete KYC/AML verification, be at least 18 years old, and (for the current phase of the platform) be a UK resident. We may refuse or suspend access where eligibility, verification, or compliance requirements are not met.

Platform fees
Fees, spreads, and charges applicable to an offering are disclosed in that offering’s materials before you invest. You are responsible for reviewing fee disclosures carefully. Third-party costs (for example legal, valuation, or banking fees at SPV level) may also apply as described in the offering documents.

Risk warnings
Capital is at risk. Property-backed token investments can be illiquid. Returns are not guaranteed. Property values and rental income can fall as well as rise. You may lose some or all of the amount you invest. Past performance is not a reliable indicator of future results. Read the Risk Warning page before investing.

Limitation of liability
To the fullest extent permitted by law, TerraShares is not liable for indirect, incidental, special, or consequential losses, or for loss of profits, opportunity, or data arising from use of the platform or participation in offerings. Nothing in these terms excludes liability that cannot be excluded under applicable law, including for death or personal injury caused by negligence or for fraud.

Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from or relating to these terms, subject to any mandatory consumer protections that apply to you.
